Job Description

The Legal Counsel will directly report to EASA General Counsel. He/she should have insurance and insurance framework and experience in negotiating and drafting contracts. He/she will be in charge for a full range of legal activities, which may include coordinating legal and regulatory matters for insurance distribution entities. He/she will work in strong coordination with EAH Legal team, supporting different EA Group projects.

The first area of expertise and impact is on insurance matters and contracts.


He/she will have as main duties in relation to certain insurance contracts and business :

1. Ensure that all key insurance related legal matters are properly taken care of by:

  • Coordinating legal advice on insurance matters, general contracts, distribution agreements, sales and claims handling practices;
  • Advising on regulatory aspects of distribution activities, policies issuance (including governance, passporting, licenses and branches, regulatory obligations and reporting);
  • Drafting and negotiating with external counterparties the main agreements with Partners, intermediaries and clients (distribution agreements, partnership agreements, group policies, insurance policies, terms and conditions, service agreements, etc.);
  • Coordinating the advice, relationships and budget management with external law firms;
  • Ensuring legal support in the implementation of the Group Outsourcing Policy, drafting the relevant outsourcing agreements, supporting the Outsourcing Business Referent in the collection of the necessary contractual information, preparing the documentation for managerial bodies and Boards of Directors and supporting EA SA General Counsel in thepreparat ion of the notification to the Regulators of any critical outsourcing;

2. Ensure the implementation of EAH and EA SA General Counsel guidelines regarding legal & corporate affairs framework in EASA branches:

  • Collaborating with local control functions;
  • Fostering a system of controls and accountability within entities in scope, also in line with local regulatory requirements;
  • Support EA SA General Counsel when interacting with the local regulators such as ACPR and all other local regulators overseeing activities of insurance and distribution entities;
  • Support in relation to corporate matters pertaining to insurance and distribution entities in line with the Europ Assistance central framework and in coordination with the Group Corporate affairs functions;

3. Attend insurance product committee meetings, able to challenge other members and bring innovative ideas to drive the transformation.

Preferred Experience

  • Master Degree/BAC+5 in Law or similar ;
  • Minimum of 3 years legal experience in the insurance industry and in a global
  • organization;
  • Knowledge about EEA and/or UK insurance markets, including GDPR, Insurance Distribution Directive and other customer protection regulations;
  • Established organizational and project management ability to multi-task,
  • prioritize and organize time effectively in a fast-pace environment with changing deadlines for both daily business requirements and more complex tasks and projects;
  • Good written and oral communication skills with experience to interface with corporate bodies and other peers and colleagues;
  • Demonstrates strong analytical skills and attention to detail consistently;
  • Business acumen and capability to find alternative solutions to meet legal and regulatory requirements in line with business expectations;
  • Shows highest degree of confidentiality and integrity;
  • Fluent in English, both written and verbal. Knowledge of any additional languages will be considered as an advantage.
